Mazda Motor Corporation has announced the following organizational and personnel changes, effective April 1, 2012.

1. Organizational Changes

Aims

• To speed up the decision-making process, optimize organizational efficiency and broaden the scope in which employees can be successful in order to steadily implement Mazda's Structural Reform Plans through expanding the scope of departments and divisions.

Details of organizational changes

(1) Changes in the area of Corporate Planning

• The Corporate Planning Div. and Profit Control Div. have been consolidated, to form the new Corporate Planning & Development Div.
• Functions of the Corporate Planning Administration Dept. have been transferred to the Corporate Planning & Development Division.
• Some functions of the Cost Control Dept. have been transferred to the Cost Planning Dept. Functions of the Corporate Planning Dept. and some functions of the Cost Control Dept. have been consolidated, to form the new Budget Control Dept.
• The Business Strategy Dept. has been renamed the business Promotion Dept.
• In line with the above changes, the Corporate Planning Div., the Profit Control Div., the Corporate Planning Administration Dept., Corporate Planning Dept. and Cost Control Dept. have been eliminated.

(2) Changes in the area of Product

• The Product Planning Div. and Program Management Div. have been consolidated, to form the new Product Div.
• Functions of the Basic Design Dept. have been transferred to the Product Planning Dept.
• Functions of the Infrastructure Dept. have been transferred to the Product Division and the Product Planning Dept.
• In line with the above changes, Product Planning Div., Program Management Div., Basic Design Dept., and Infrastructure Dept. have been eliminated.

(3) Changes in the area of Vehicle Development

• Functions of the R&D Quality Dept. have been transferred to the Vehicle Development Div., and the R&D Quality Dept. has been eliminated.

(4) Changes in the area of Purchasing

• Functions of the Purchasing Planning Dept. and Purchasing Administration Dept. have been consolidated, to form the new Purchasing Administration Dept. The Purchasing Planning Dept. and the previous Purchasing Administration Dept. have been eliminated.

(5) Changes in the area of Production Engineering

• Functions of the Product & Production Engineering Dept. have been transferred to the Production Engineering Div. and Production Planning Dept.
• The functions of the Tool & Die Sales Dept. have been transferred to the Tool & Die Production Dept.
• In line with the above changes, the Product & Production Engineering Dept. and Tool & Die Sales Dept. have been eliminated.

(6) Changes in the area of Production Control & Logistics

• The functions of the Production Control & Logistics Planning Dept. have been transferred to the Production Control & Logistics Div., and the Production Control & Logistics Planning Dept. has been eliminated.

(7) Changes in the area of Hiroshima Plant

• Functions of the Workshop Engineering Dept. No. 1 have been transferred to the Powertrain Production Dept. No. 2 and Vehicle Production Dept. No. 1.
• Functions of the Powertrain Production Dept. No. 1 have been transferred to the Powertrain Production Dept. No. 2.
• Functions of the Vehicle Production Dept. No. 2 have been transferred to the Vehicle Production Dept. No. 1.
• In line with the above changes, the Workshop Engineering Dept. No. 1, Powertrain Production No. 1, and the Vehicle Production Dept. No. 2 have been eliminated.

(8) Changes in the area of Hofu Plant

• Functions of the General Affairs Dept. (Hofu) have been transferred to the Hofu Plant division.
• Functions of the Workshop Engineering Dept. No. 2 have been transferred to the Powertrain Production Dept. No. 4 and the Vehicle Production Dept. No. 4.
• In line with the above changes, the General Affairs Dept. (Hofu) and Workshop Engineering Dept. No. 2 have been eliminated.

(9) Changes in the area of Global Marketing & Sales and Customer Service

• The Global Marketing Div. and Overseas Sales Div. have been consolidated, to form the new Global Sales & Marketing Div.
• The Global Brand Management Dept. has been renamed the Brand Strategy Dept. and some functions of the Market Support Dept. have been transferred and integrated to the department.
• The Global Consumer Insight Dept. has been renamed the Consumer Insight Dept.
• The Global Product Marketing Dept. has been renamed Product Marketing Dept. and some functions of the Market Support Dept. have been transferred and integrated to the Product Marketing Dept.
• Some functions of the Global Product Marketing Dept. and the Market Support Dept. have been consolidated, to form the new Sales Administration Dept.
• Some functions of the Global Marketing Div. and the Overseas Business Development Dept. have been consolidated, to form the new Global Sales Planning Dept.
• Functions of the North America & Europe Support and Management Dept. and some functions of the Overseas Business Development Dept. have been consolidated, to form the new Market Operation Dept. No. 1.
• Functions of the Asia & Pacific Sales Dept. and some functions of the Market Support Dept. have been consolidated, to form the new Market Operation Dept. No. 2.
• Some functions of the Carib (Caribbean) and Central & South America Sales Dept., all functions of the Middle East & Africa Sales Dept. and some functions of the Market Support Dept. have been consolidated, to form the new Market Operations Dept. No. 3.
• Some functions of the Carib (Caribbean) and Central & South America Sales Dept. have been transferred to the Global Sales & Marketing Div.
• The Global Accessories Marketing Dept. has been transferred to the Customer Service Div. and renamed Accessories Dept.
• In line with the above changes, the Global Marketing Div., Overseas Sales Div., North America & Europe Support and Management Dept., Market Planning and Administration Dept., Overseas Business Development Dept., Market Support Dept., Asia & Pacific Sales Dept., Carib (Caribbean) and Central & South America Sales Dept. and Middle East & Africa Sales Dept. have been eliminated.

(10) Changes in the area of Human Resources and General Legal Affairs

• The Human Resources Div. and Corporate Services Div. have been reorganized respectively to newly create the Human Resources Office and Office of General Legal Affairs.
• The Safety and Health Promotion Dept. has been reorganized to establish an individual department and renamed the Safety, Health and Disaster Prevention Dept.
• Functions of the Global Human Resources Dept., Personnel & Labor Affairs Dept. and HR Business Support Dept., and some functions of the Compliance Administration Dept. have been transferred to the Human Resources Office.
• Functions of the Compliance Administration Dept. and Office of Legal Affairs and some functions of the General Affairs Dept. have been transferred to the Office of General Legal Affairs.
• Functions of general affairs for Osaka of the General Affairs Dept. have been transferred to the Regional Sales Dept. No. 2 of the Domestic Business Div.
• Functions of general affairs for Tokyo of the Tokyo General Affairs Dept. have been transferred to be under the oversight of the executive officer in charge of the Tokyo Office.
• In line with the above changes, Human Resources Div., Corporate Services Div., Global Human Resources Dept., Personnel & Labor Affairs Dept., HR Business Support Dept., Compliance Administration Dept., General Affairs Dept., Tokyo General Affairs Dept. and Office of Legal Affairs have been eliminated.

In line with these organizational changes, the number of divisions including offices as individual divisions has been reduced from 28 to 25, and the number of departments has been reduced from 133 to 110.
