HIROSHIMA, Japan—Mazda Motor Corporation has announced corporate organizational changes and a new line-up of directors and corporate auditors proposed to take effect following the general meeting of shareholders scheduled for June 24, 2011.
1. Introduction of Outside Director System
Mazda has decided to restructure its management system in an effort to further enhance corporate governance and transparency of the management. At the 145th general meeting of shareholders the company will propose the introduction of an outside director system and the appointment of two outside directors. In conjunction with this, the Management Advisory Committee, which was formed in 2002 to reflect the knowledge of outside experts in company management, is to be abolished.
